Returns, Shortages and Damaged Goods Policy

Stock Release UK acts as a disclosed sales agent. The stock owner remains the contractual seller of the goods, and the buyer purchases directly from that seller.

Transactions arranged through Stock Release UK are intended for business buyers acting in the course of trade. Consumer cooling-off and change-of-mind cancellation rights do not normally apply to business-to-business purchases.

Before approving a transaction

The buyer is responsible for reviewing the available stock description, photographs, quantities, condition information and any stated limitations before making or approving an offer.

Surplus, clearance, end-of-line, overstock and discontinued goods may include:

  • discontinued packaging;
  • shelf wear;
  • mixed batches;
  • customer returns;
  • incomplete cartons;
  • short-dated goods;
  • other conditions clearly disclosed before sale.

The seller must ensure that the goods are described accurately. Goods sold in the course of business are generally expected to correspond with their description and meet the applicable standard of satisfactory quality, taking account of the description, price and surrounding circumstances.

Change-of-mind returns

Unless the seller expressly agrees otherwise in writing, business buyers do not have an automatic right to return goods simply because they change their mind, cannot resell them, or no longer require them.

Inspection on delivery or collection

The buyer should inspect the goods as soon as reasonably possible following delivery or collection.

Any visible:

  • damage;
  • shortage;
  • incorrect goods;
  • significant discrepancy from the agreed description

should be recorded on the delivery documentation where possible and reported promptly to both the seller and Stock Release UK.

The report should include:

  • the transaction or invoice reference;
  • details of the affected goods;
  • quantities involved;
  • clear photographs;
  • delivery or collection documentation;
  • any other relevant evidence.

Faulty, damaged, short or incorrectly described goods

Responsibility for resolving a complaint rests primarily between the seller and buyer because the stock owner is the contractual seller.

Depending on the circumstances and the terms agreed for the particular transaction, an appropriate resolution may include:

  • replacement goods;
  • collection of affected goods;
  • a price adjustment;
  • a credit note;
  • a partial or full refund;
  • another commercially reasonable solution agreed by the parties.

Stock Release UK may assist communication and help the parties clarify the agreed stock description, offer and transaction record, but does not independently guarantee the goods or issue refunds on behalf of the seller.

Return authorisation

Goods must not be returned without prior written agreement from the seller.

The parties must agree:

  • the return address;
  • who will arrange transport;
  • who will bear the return cost;
  • the quantity being returned;
  • the condition required;
  • any refund, replacement or credit arrangement.

Unauthorised returns may be refused.

Delivery damage and carrier claims

Where damage or loss appears to have occurred in transit, the seller, buyer and carrier may need to cooperate with any claim. Packaging, photographs, delivery paperwork and the damaged goods should be retained until the matter has been resolved.
